These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and MiniGig LLC, doing business as BeachBride ("BeachBride," "we," "us," or "our"). By accessing or using BeachBride.com (the "Site") or any of our services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately stop using the Site and all services. Your continued use of the Site after any changes to these Terms constitutes your acceptance of the revised Terms.

Vendor Directory

BeachBride offers free and paid listing tiers for Vendors. Paid tiers (Premium and Pro) provide enhanced visibility and features. Inclusion of any Vendor in our directory, whether free or paid, does not constitute an endorsement, recommendation, or verification of that Vendor by BeachBride.

BeachBride participates in affiliate programs with resorts, hotels, jewelry retailers, travel insurance providers, and other third-party companies. When you click an affiliate link on our Site and make a purchase, we may earn a commission at no additional cost to you.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written permission, except as permitted by applicable law for personal, non-commercial use.

The BeachBride name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MiniGig LLC. You may not use these marks without our prior written permission.

Your use of the Site is also governed by our Privacy Policy. By using the Site, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

12. Disclaimers and Warranty Limitations

THE SITE AND ALL CONTENT, SERVICES, FEATURES, VENDOR LISTINGS, DESTINATION INFORMATION, AND RECOMMENDATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINIGIG LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, BEACHBRIDE DOES NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE INFORMATION PROVIDED ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY VENDOR LISTED ON THE SITE IS QUALIFIED, LICENSED, INSURED, OR REPUTABLE; (D) THE RESULTS OF USING THE SITE WILL MEET YOUR EXPECTATIONS; OR (E) ANY DESTINATION INFORMATION, INCLUDING MARRIAGE REQUIREMENTS AND TRAVEL REGULATIONS, IS ACCURATE OR UP TO DATE.

BEACHBRIDE IS A REFERRAL AND INFORMATION PLATFORM ONLY. WE ARE NOT A WEDDING PLANNING SERVICE, TRAVEL AGENCY, OR LEGAL ADVISOR. ANY RELIANCE YOU PLACE ON INFORMATION PROVIDED THROUGH THE SITE IS STRICTLY AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINIGIG LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, ANY VENDOR INTERACTION, ANY THIRD-PARTY PRODUCT OR SERVICE, OR ANY CONTENT ON THE SITE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF BEACHBRIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF MINIGIG LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO BEACHBRIDE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless MiniGig LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

15. Copyright Policy (DMCA)

MiniGig LLC respects the intellectual property rights of others and expects users of the Site to do the same. It is our policy to respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512.

Reporting Infringement

If you believe that content on the Site infringes your copyright, please send a written notice to our designated agent containing all of the following:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
  2. Identification of the copyrighted work claimed to have been infringed
  3. Identification of the material claimed to be infringing, with sufficient detail for us to locate it (include the URL)
  4. Your contact information — name, mailing address, phone number, and email address
  5. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
  6. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner

Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to the address above containing: your signature, identification of the removed material and its prior location, a statement under penalty of perjury that the material was removed by mistake or misidentification, your contact information, and consent to jurisdiction of the federal district court for your location.

Repeat Infringers

We will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.

16. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at hello@beachbride.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.

Binding Arbitration

If we cannot resolve a dispute informally, you and BeachBride agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Travis County, Texas, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND BEACHBRIDE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding.

Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

17. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.

18. Termination

We may terminate or suspend your access to the Site at any time, with or without cause, with or without notice. Upon termination, your right to use the Site ceases immediately. For Vendors with paid subscriptions, termination by BeachBride without cause will not result in additional charges, but no refunds are provided for the current billing period.

The following sections survive termination: Disclaimers and Warranty Limitations, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, Governing Law, and Intellectual Property.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes are effective upon posting to the Site. For material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms.

20. Force Majeure

BeachBride shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, internet or infrastructure failures, or third-party service outages.

21. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and BeachBride regarding your use of the Site. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
